🧾 Terms and Conditions – MLP Translations

1. Overview

These Terms and Conditions apply to all services provided by MLP Translations, a language services company specialising in translation, proofreading and writing.

2. Purpose

These T&Cs define the terms and conditions under which MLP Translations provides services to individual and professional clients.

Any order implies full and unconditional acceptance of these terms, unless otherwise agreed in writing between the parties.

3. Quotations and orders

Each service request gives rise to a personalised quotation, based on the documents and information provided by the client.

The quotation specifies:

• the nature and scope of the service,
• the price (excluding and including VAT),
• the delivery deadline,
• the payment terms.

The quotation is valid for 30 days from the date of issue.
The order becomes firm and final upon receipt of the signed quotation (or written approval by email).

4. Pricing and payment terms

Prices are expressed in euros, excluding VAT and including VAT.
The applicable VAT rate is the one in force on the date of invoicing.

Unless otherwise stated:

• a deposit of 30% to 50% of the total amount may be required upon order,
• the balance is payable upon delivery.

Payment is made by bank transfer (details provided on the invoice) within 30 days net from the invoice date.
No discount will be granted for early payment.

In the event of late payment, the Client shall be liable, without prior formal notice, for late payment penalties calculated from the day following the due date. These penalties are set at three times the statutory interest rate in force until full settlement of the amount due. In accordance with Article D.441-5 of the French Commercial Code, a fixed compensation of €40 for recovery costs shall also apply.

5. Delivery deadlines

Delivery deadlines are specified in the quotation and begin upon receipt of:

• the source documents required to perform the service,
• written confirmation of the order,
• and, where applicable, the deposit.

Deliverables are provided electronically (email, download link or any other agreed method).
In the event of a delay due to force majeure (technical failure, illness, technical incident, etc.), MLP Translations undertakes to inform the client as soon as possible.

6. Liability

MLP Translations undertakes to provide services in accordance with professional standards applicable to translation and writing.

MLP Translations shall not be held liable:

• in the event of errors resulting from incomplete or incorrect information provided by the client,
• or for indirect damages (loss of revenue, damage to brand image, etc.).

In all cases, the total liability of MLP Translations is limited to the amount of the invoiced service.

7. Confidentiality

All documents and information provided by the client are treated confidentially.
MLP Translations undertakes not to disclose this information to third parties without prior written authorisation.

8. Copyright and intellectual property

The client guarantees that they hold the necessary rights to the texts and documents provided to MLP Translations.
The delivered services become the property of the client after full payment of the invoice.

Before full payment, all work remains the exclusive property of MLP Translations.

9. Governing law and jurisdiction

These General Terms and Conditions are governed by French law.
Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the courts of the registered office of MLP Translations.
